Exhibitor Agreement Terms & Conditions

Application for space should be made directly to the Rocky Mountain EAA Regional Fly-In (RMRFI) RMRFI reserves the right to make rearrangements of floor plans, layouts etc. The most current layout and vendor assignments will be available on the RMRFI web site, www.rmrfi.org.
 
The following terms and conditions will govern the use of space covered hereunder and the Exhibitor expressly agrees to be bound by and comply with such.
 
Exhibitors shall not assign or sublicense this Agreement or sublet any space provided herein. In no event shall exhibitor, grant to any person or company, permission to share its exhibit area or to occupy adjacent areas.
 
Colorado State Sales Tax- Payment of Colorado State Sales Tax on Exhibitors transactions is the exclusive responsibility of the Exhibitor. Exhibitors shall obtain forms from:

Electricity is available to in Raptor and Hornet rows only through RMRFI at a small additional fee. Use of your own personal generator where power is not supplied will be allowed as long as the generator is a Honda whisper quiet unit. RMRFI reserves the right to limit use of said unit if not a Honda whisper quiet.
 
Each vendor is allocated a fixed number of day passes included in the price of the exhibit. The passes are intended for the use by employees who may be needed to help staff the exhibit. Additional passes are available for a fee of $10.00 per pass.
 
Neither party shall lose any rights hereunder or be liable to the other party for damages or losses on account of failure of performance by the defaulting party if the failure is occasioned by government or military action, war, terrorism, fire, earthquake, explosion, flood, strike, lockout, embargo, act of God, or any other similar or dissimilar cause beyond the reasonable control of the defaulting party (each, a “Force Majeure Event”), provided that the party claiming the Force Majeure Event has exerted all reasonable efforts to avoid or remedy such Force Majeure Event.
 
The Exhibitor shall forever indemnify, save harmless, and defend the RMRFI, its officers, directors, judgments, liabilities, losses, damages, and expenses resulting from or incident to, any and all loss, damage, death, or injury to persons or property arising out of, or in connection with, the exhibit or occupancy of the space allotted under this agreement.
 
Exhibitor shall be solely responsible for any loss or damage, disappearance or other casualty to any of its (or its employees’, agents’, or volunteers’) personal property, including vehicles, equipment and supplies (collectively “exhibitors Personal Property”), caused by any reason (accident, negligence of any person or entity (including RMRFI or EAA), theft, natural disaster, or otherwise), and shall indemnify and hold RMRFI and EAA harmless from the same. Exhibitor shall be solely responsible to protect the Exhibitor Personal Property.
 
Exhibitor shall use its best efforts to obtain and maintain adequate insurance coverage prior to the event to insure their property or goods while in transit and at the event site. Exhibitor shall use its best efforts to obtain and maintain public liability insurance coverage to protect against injuries to person or property as a consequence of the acts or omissions of Exhibitor and its employees, agents and volunteers.
 
Nothing contained herein shall be deemed or construed by the parties hereto or by any third party as creating the relationship of principle and agent, partnership or of joint venture between RMRFI and Exhibitor. It is further understood and agreed that the relationship of Exhibitor to RMRFI as a consequence of this agreement is that of an independent contractor and Exhibitor shall maintain in effect throughout the term of this agreement a policy of Workman’s Compensation Insurance covering all of its employees who are at the event.
 
Except as otherwise specified herein, Exhibitor agrees that, as an independent contractor, it will secure, furnish and maintain all necessary equipment with proper licenses, authorities and permits. Exhibitor covenants and agrees that it will fully perform this Agreement and comply with all applicable local, state, and federal rules, regulations and statutes.
 
This agreement contains the entire understanding and the full and complete agreement of the parties and supersedes and replaces any prior understandings and agreements among the parties with respect to the subject matter hereof.
